LIABILITY WAIVER AND RELEASE OF ANY AND ALL CLAIMS

Scope of the Agreement

I agree that this release and waiver of liability applies with regard to any digital, online, live streaming, or on-demand event or training session as well as from my being on the premises of any property, facility, or area operated by Armed Prophets LLC for any purpose.

This release applies to Armed Prophets LLC’s individual training, group training, online training, workshops or camps, or any other fitness/wellness activity at Integrate Strength or offered by Armed Prophets LLC online (collectively, the “Activities” or “Activity”). This release ad waiver equally applies to my entering or exiting any facility operated by Armed Prophets LLC and whether my participation in the Activities occurs at a Armed Prophets LLC facility, another location whether inside or outside, or at a virtual event or training.

Assumption of Risk

I alone assume all risks associated with me being on, entering, or exiting an Armed Prophets LLC premise and with participating in any Armed Prophets LLC Activity. Those risks include but are not limited to injuries from slipping or tripping anywhere on the premises including, but not limited to, restrooms, changing rooms, storage rooms, and offices; falling; from overexertion; from alleged negligent training, instruction or hiring; from miscarriage or other pregnancy related complications; from allegedly negligent cleaning and/or building/facility maintenance; from participating in any social event provided on-site; from equipment (including but not limited to the sudden, unforeseen malfunctioning of any equipment); from lifting weights and/or from other weights falling on me; from a negative reaction to a particular diet, food, nutrition plan, or supplement recommended or sold to me by Armed Prophets LLC or an affiliated/related entity; from other individuals on-site; from any interaction with a Armed Prophets LLC staff member or representative or Armed Prophets LLC; from being on the Armed Prophets LLC premises alone; from lifting weights while breathing in a particular controlled manner (including but not limited to the “Valsalva maneuver” (i.e. holding the breath forcefully against a closed glottis)); from an allergic or chemical reaction to any agent and/or cleaner on-site; or from the contraction of any illness, disease, virus, condition, or infection from this premises or from anyone on the premises. I acknowledge that these injuries could be psychological, emotional, or physical and that they could be minor or significant (including death).

I understand that the Activities may (and likely will) involve the use of weights or other equipment. I represent and warrant that I have no medical condition or medical history which would prevent my full participation in the Activities. It is my responsibility to consult with a physician prior to and regarding my participation in Armed Prophets LLC’s Activities. I am fully aware of the risks and hazards involved in these Activities whether I participate in the Activities in person or digitally.

Medical Responsibility

I understand that it is my responsibility to consult with a physician regarding my participation in physical conditioning, fitness training activities, workshops, classes or any exercise or nutrition programs in any way associated with Armed Prophets LLC. If I am suffering from any medical condition, it is my responsibility to inform Armed Prophets LLC in writing before participating in any Activity.

Release of Liability

I agree not to hold Armed Prophets LLC and all of Armed Prophets LLC’s members, owners, agents, employees, landlords/lessors, insurers, partners, agents, and associates, and and The Aasgaard Company and all of The Aasgaard Company’s members, partners, owners, agents, employees, independent contractors, insurers, and associates (the “Released Parties”) liable in any respect for negligence stemming from any injury or death stemming from or related to any of the aforementioned Activities or risks enumerated in this agreement of which I have explicitly been made aware and for which I have assumed sole legal responsibility.

Physical Coaching

I understand that the Activities may involve touch for the purpose of adjusting posture and that I may decline that teaching/coaching technique at any time.

Personal Property

I understand that the Released Parties are not responsible for any loss of personal property.

Software and Digital Applications

I understand that Armed Prophets LLC may purchase, use, or create software or other digital applications for my convenience and use in connection with the Activities. I understand and fully acknowledge that use of this software is voluntary and solely at my own risk, and I hereby waive, release, and discharge the Released Parties from any and all claims, demands, rights, causes of action, and liability from injuries, losses, or damages arising from, or in any way connected with, my use of any software or digital applications, including those resulting in whole or in part from the negligent acts or omissions of any of the Released Parties.

Passes, Payments, and Cancellation Policy

I understand that if I am signing up for a one time or limited time Activity (referred to as a “Pass” or a group of “Passes”), such as, by way of example only but not limitation, a form check, one or multiple private sessions, my full payment is due prior to the start of the first training session. I understand that if I choose to cancel a one-time or a limited time Activity, I must e-mail stronger@integratestrength.com with notice of cancellation at least 24 hours prior to the start of the Activity, and if no such e-mail is sent I may be subject to a late-fee not to exceed $50.

I understand that, except to request a monetary refund for that Individual session, I have no claim against the Released Parties by reason of their refusal to allow me to participate in any Activity.

No Medical or Rehabilitative Advice

I acknowledge and understand that no employee or agent of Armed Prophets LLC is a licensed dietitian, physician, or physical therapist, and that any products, services, information, guidelines, or advice provided by Armed Prophets LLC shall not be construed as dietary, medical, or rehabilitative advice or as treatment for any general or particular medical or physiological condition, pathology, or disability, and that they carry no express or implied warranty or any kind, including, but not limited to, warranties regarding safety or suitability for a particular purpose.

Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties against any claims, liability, damages, defense costs (including attorney’s fees), and any other costs incurred in connection with claims for bodily injury, wrongful death, loss of consortium or property damage arising out of or otherwise related to my participation in these Activities including my use of Armed Prophets LLC’s facilities or equipment. I agree that if I (on my own behalf or on behalf of another, including an estate) assert a claim (including a claim for negligence or wrongful death) against any of the Released Parties and/or otherwise breach my agreement not to sue any of the Released Parties, I will pay all reasonable fees (including attorney’s fees), costs, and expenses incurred by said Released Parties to defend (1) the claim; and (2) all other claims arising out of the same facts as the claim.

In consideration of my participation in Armed Prophets LLC’s Activities and/or use of Armed Prophets LLC’s facilities, I understand and voluntarily accept these risks and agree to not hold the Released Parties liable for any injury or claim which arises from my participation in such Activities, the use of these facilities or from any risk or situation described in this document whether related to fitness or not. Accordingly, I do hereby forever release and discharge the Released Parties from any and all claims or causes of action to the fullest extent allowable by law.

Governing Law and Venue

The validity, enforcement, construction, and interpretation of this agreement shall be governed by Texas law. Any action or proceeding arising in connection with this agreement and/or with the undersigned’s participation in any training session or event with Armed Prophets LLC or from being on its premises or against Armed Prophets LLC in any respect, can only be brought in Travis County Texas. All parties to this agreement waive any objection to the jurisdiction of these courts whether based on convenience or otherwise.

Severability and Entire Agreement

If any portion of this release shall be deemed by a court of competent jurisdiction to be invalid for any reason, the remainder of the release shall remain in full force and effect. By signing this release, I acknowledge that I understand its contents and that this release cannot be orally modified. I voluntarily agree to the terms and conditions stated above.
